Hayaland Auctions — B2B Liquidation Auctions Effective date: July 5, 2026
These Buyer Terms & Conditions ("Buyer Terms") govern all bidding on and purchases of Inventory through the Hayaland Auctions platform operated by Hayaland Inc. ("Hayaland", "we"). They supplement the Terms of Use. By placing a bid, you agree to these Buyer Terms.
1. Buyer approval
Bidding is available only to business buyers whose accounts have been reviewed and approved by Hayaland. We may condition, suspend, or withdraw approval at any time at our sole discretion, including for missing or inaccurate business information, payment failures, or conduct that undermines the integrity of our auctions.
2. How our auctions work
(a) Maximum (proxy) bidding. When you place a bid, you enter the maximum amount you are willing to pay for the lot. The system bids on your behalf only as much as needed to keep you in the lead, up to your maximum. Your maximum is confidential and is never disclosed to other bidders.
(b) Minimum increments. Each auction has a minimum bid and minimum raise increment shown on the listing.
(c) Reserve prices. Some auctions carry a confidential reserve price. If bidding does not reach the reserve, the lot is not sold, even to the highest bidder. The listing indicates whether the reserve has been met; the reserve amount itself is never disclosed.
(d) Closing and anti-sniping extensions. Each auction displays a scheduled end time. A bid placed within the final minutes of an auction automatically extends the end time (as configured per listing, typically five minutes) to give other bidders an opportunity to respond. Auctions may extend multiple times.
(e) Auction administration. Hayaland may cancel, modify, extend, or relist any auction, and may reject or cancel any bid, at any time and at our sole discretion, including in cases of error, suspected manipulation, or inventory unavailability.
3. Bids are binding
Every bid is a binding, irrevocable offer to purchase the entire lot at your bid price. Bids may not be retracted. If you are the winning bidder (highest bid at close, with any reserve met), a binding contract of sale is formed between you and Hayaland at the final auction price, and you are obligated to complete the purchase.
4. Payment
(a) Currency and method. All prices are in United States Dollars (USD). Payment is made by wire transfer or ACH to Hayaland's designated U.S. bank account. Payment instructions are provided after the auction closes. We do not accept payment through any other channel unless expressly agreed in writing.
(b) Payment window. Full payment of the final auction price, plus any stated shipping, handling, or other charges, is due within three (3) business days of the auction close.
(c) Non-payment. If payment is not received in full within the payment window, Hayaland may, at its option: cancel the sale; relist or otherwise dispose of the lot; suspend or permanently close your account; recover from you any shortfall between your winning bid and any subsequent resale price, plus reasonable costs; and pursue any other remedy available at law. Repeated or serious non-payment will result in permanent removal from the Platform.
(d) Taxes. Prices exclude all taxes, duties, and government charges. You are responsible for all applicable taxes. If you claim a resale exemption, you must provide valid resale documentation acceptable to Hayaland; otherwise applicable sales tax may be added.
5. Condition of inventory; manifests; variance
(a) AS-IS, WHERE-IS. ALL INVENTORY IS SOLD "AS IS, WHERE IS," WITH ALL FAULTS, AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR CONDITION. Condition grades, descriptions, and photographs are good-faith estimates provided for convenience only and are not guarantees.
(b) Manifests and variance. Lots may include a manifest describing the expected contents. Manifests are estimates. A variance of up to five percent (5%) in unit count, declared value, and/or condition mix is expressly permitted and shall not constitute grounds for any claim, dispute, cancellation, or price adjustment.
(c) Inspection. Where inspection is offered, buyers are encouraged to inspect before bidding. Failure to inspect does not create any right to rescind.
6. Shipping, pickup, and risk of loss
(a) Shipping origin. Inventory may be located in and shipped from the United States or Japan, as indicated on the listing.
(b) Buyer-arranged transport. Unless a listing expressly states otherwise, transport is arranged and paid for by the buyer, and the lot must be picked up from the stated location within the window communicated after payment. Any shipping estimate shown on a listing is an estimate only.
(c) Title and risk of loss. Title passes upon Hayaland's receipt of full payment. Risk of loss passes to the buyer upon handover of the lot to the buyer or the buyer's carrier at the pickup location. Hayaland is not responsible for loss or damage in transit.
(d) Storage. Lots not collected within fourteen (14) days of payment (or such other window as we communicate) may incur storage fees or be deemed abandoned.
7. International buyers; import responsibility
We welcome buyers worldwide. The buyer is the importer of record for any cross-border shipment and is solely responsible for all import clearance, customs duties, tariffs, taxes, brokerage fees, permits, licenses, and compliance with the laws of the destination country. Hayaland makes no representation that any Inventory is lawful to import, sell, or use in any particular country. Refusal or seizure by customs authorities does not relieve the buyer of the obligation to pay, and does not entitle the buyer to any refund.
8. Disputes regarding a lot
Any claim that a received lot materially differs from its listing (beyond the permitted 5% variance) must be submitted to Hayaland in writing at info@hayaland.com within seven (7) days of pickup or delivery, with supporting photographs and documentation. Claims not raised within this window are waived. Hayaland will review claims in good faith; remedies, if any, are at Hayaland's discretion and shall not exceed the amount paid for the lot. Do not dispose of disputed Inventory while a claim is under review.
9. Prohibited conduct
Shill bidding, collusion, bid manipulation, bidding through multiple or affiliated accounts, and arranging or attempting transactions outside the Platform are strictly prohibited and are grounds for immediate account termination, cancellation of sales, and forfeiture of any claims.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HAYALAND'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY LOT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE BUYER FOR THAT LOT, AND HAYALAND SHALL NOT BE LIABLE FOR ANY LOST PROFITS OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Governing law
These Buyer Terms are governed by the laws of the State of California, United States, under the same governing-law, dispute-resolution, and time-limit provisions set out in the Terms of Use.
