Hayaland Auctions — B2B Liquidation Auctions Effective date: July 5, 2026

These Terms of Use govern your access to and use of the Hayaland Auctions platform (the "Platform"), operated by Hayaland Inc., a company registered in the United States and in Japan ("Hayaland", "we", "us"). The Platform is a business-to-business marketplace on which approved business buyers bid on and purchase wholesale and liquidation inventory ("Inventory").

By creating an account, accessing the Platform, or placing a bid, you agree to these Terms of Use, the Buyer Terms & Conditions (which govern bidding and purchases and are incorporated by reference), and our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and "you" refers to both you and that entity.

1. Business use only; eligibility

The Platform is intended solely for business buyers purchasing Inventory for resale or business use. You must be at least 18 years old and able to enter binding contracts. We may require business information, tax or resale documentation, and other verification before or after approving an account.

2. Accounts and approval

Account registration requires accurate, complete, and current information. New accounts are subject to review and approval by Hayaland before bidding is enabled. We may approve, decline, suspend, or revoke any account at our sole discretion, with or without cause or notice. You are responsible for all activity under your account and for keeping your credentials secure, and you must notify us promptly of any unauthorized use.

3. Acceptable use

In connection with the Platform, you will not, and will not permit or assist others to:

• engage in shill bidding, collusion, or bid manipulation of any kind, including bidding in coordination with other accounts you control or are affiliated with;
• place bids you do not intend to honor, or interfere with any auction;
• contact sellers or other buyers to arrange transactions outside the Platform or otherwise circumvent the Platform;
• use robots, scrapers, or other automated means to access, monitor, or copy the Platform or its data, or probe or test the security of our systems;
• attempt to access other users' accounts, data, or bid information, including any other bidder's maximum bid;
• reverse engineer, copy, frame, or create derivative works of the Platform or its bidding engine;
• upload malicious code or take any action that imposes an unreasonable load on our infrastructure;
• impersonate any person or entity or misrepresent your affiliation;
• use the Platform in violation of any applicable law, including export control, sanctions, and customs laws.

We may investigate suspected violations and may suspend or terminate accounts, cancel bids or sales, and pursue other remedies.

4. Auctions, listings, and content

Listing information — including titles, descriptions, photographs, manifests, condition grades, and quantities — is provided for convenience and is subject to the disclaimers and variance allowances in the Buyer Terms & Conditions. Hayaland may modify, extend (including automatic anti-sniping extensions), cancel, or relist any auction, and may remove any listing, at any time.

All content on the Platform, including text, graphics, logos, interfaces, and software, is owned by or licensed to Hayaland and protected by intellectual property laws. No license is granted except the limited right to use the Platform for its intended purpose.

5. Disclaimers

THE PLATFORM AND ALL INVENTORY ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HAYALAND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT LISTING INFORMATION IS COMPLETE OR ACCURATE.

6. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HAYALAND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE PLATFORM OR ANY PURCHASE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO HAYALAND FOR THE PURCHASE GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless Hayaland and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms of Use or the Buyer Terms & Conditions; (c) your violation of any law or the rights of any third party; or (d) your resale, use, import, export, or handling of any Inventory you purchase.

8. Governing law and disputes

These Terms of Use are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Before filing any legal action, the parties agree to first attempt in good faith to resolve any dispute directly for at least thirty (30) days after written notice. Subject to the foregoing, the parties submit to the exclusive jurisdiction of the state and federal courts located in California, and each party waives any right to a jury trial. Any claim must be brought within one (1) year after it arises.

9. Changes; termination

We may modify these Terms of Use at any time by posting an updated version with a new effective date. Material changes may also be notified by email or in-app notice. Continued use of the Platform after changes take effect constitutes acceptance. We may suspend or terminate the Platform or your access to it at any time.

10. Miscellaneous

These Terms of Use, together with the Buyer Terms & Conditions and Privacy Policy, are the entire agreement between you and Hayaland regarding the Platform. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
